Acceptance:

These terms of service (“Terms of Service”) are made between you and Moneysupermarket.com Limited (“paaleads.com”).

Reading a message posted to the Community and Forums Area (“CFA”) or other use, access to, or posting a message to the CFA, will constitute your acceptance of these Terms of Service.

Registration:

When you register with us, you are stating that you are over 18 years of age. We do not allow persons we know to be under 18 years of age to register with the paaleads.com CFA.

You agree that any information you provide to us about yourself upon registration, or at any other time, will be true, accurate, and complete, and that you will ensure that this information is kept accurate and up-to-date at all times. paaleads.com reserves the right at its sole discretion to terminate your membership, and access to any specific content, if you have provided paaleads.com with false, or misleading, registration information.

Rules:

You are entirely liable for all activities conducted by you, or by others authorised by you, or otherwise acting on your behalf (including anyone using your password). You agree you will not (and will procure that no one authorised by you or acting on your behalf will) do any of the following actions or things whilst using the CFA:-

• Harass, threaten, embarrass, or cause distress, or discomfort, to another participant, user, or other individual or entity;
• Transmit or publish on or via the CFA any information, content or other data or materials ("Content") that can be considered to be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically or otherwise objectionable;
• Impersonate any other person or entity, whether actual or fictitious, in the CFA, or to create a member name intended to mimic a paaleads.com member of staff or community moderator;
• Disrupt the normal flow of dialogue in the CFA, or act in a manner that adversely affects other participants;
• Post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation in the CFA, except in any areas that may be designated for such a purpose;
• Intentionally, or unintentionally, violate any applicable local, regional, national, or international law, including, but not limited to, any regulations having the force of law, whilst using or accessing the CFA, or in connection with your use of or access to the CFA in any manner; and
• Transmit, discuss or publish any content in relation to paaleads.com (such as pricing, customers, business model or bidding process) in a manner that could be construed as attempting to manipulate others’ bids, discuss specifics of lead details or attempt to transfer business.

paaleads.com reserves the right, at its sole discretion, to remove any posting which violates these Terms of Service. paaleads.com reserves the right at its sole discretion to edit or remove any posting which contains any phone number or email address.

You may not post links to alternative community groups or other third party websites, unless it is with the specific prior written permission of paaleads.com.

You must also respect the character, quality and atmosphere of the CFA.

paaleads.com may, at any time at its sole discretion, and without prior or post warning, close and/or remove discussions on message boards as it feels appropriate. No discussion will be entered into.

Intellectual Property:

You agree that you will not upload, or transmit, to the CFA any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any third party. By submitting content to the CFA, you automatically grant (and warrant that the owner of such content has expressly granted) paaleads.com the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content (in whole or in part) worldwide and/or to incorporate it in any other works in any form, media or technology now known, or later developed, for the full term of any Rights that may exist in such content.

You may view, print, download, or temporarily store extracts from the CFA for your personal, non-commercial reference, without alteration, addition or deletion. You may not otherwise copy, reproduce, retransmit, distribute, publish, commercially exploit, or otherwise transfer any CFA material or content. You acknowledge that you will not acquire any Rights by downloading or otherwise using any CFA content or materials.

Content:

You, and any others authorised by you, or otherwise acting on your behalf, must evaluate, and bear the risk associated with, the accuracy, completeness or usefulness of any Content. It is your sole responsibility to ensure the accuracy, completeness and usefulness of any Content. paaleads.com shall not be responsible for and makes no representation or warranty about the accuracy, completeness or usefulness of any Content. paaleads.com may display, modify, transmit, distribute, or delete any Content which you upload or transmit to the CFA without the need for further permission from you. paaleads.com does not guarantee the publication of any Content and does not pre-screen or monitor Content in the CFA as a matter of policy, but may, in its sole discretion, do so.

paaleads.com shall have the right, but not the responsibility, to remove Content which is deemed in paaleads.com' sole discretion, harmful, offensive, or otherwise in breach of these Terms of Service, or any other rules paaleads.com may have in place from time to time. paaleads.com may elect at its sole discretion, to monitor some, all, or no parts of the CFA, for adherence to these Terms of Service, or to paaleads.com rules. The views expressed in the CFA are personal to the member, and are in no way representative of the views of paaleads.com, nor are to be taken as endorsed or verified by paaleads.com in any way.

Termination:

paaleads.com reserves the right to prohibit access to the CFA and to terminate access to the CFA (including the termination of any accounts you have) to those who breach these Terms of Service, If your account has been withdrawn as a result of your breach of these Terms of Service, you may not open another account with paaleads.com, and we reserve the right to similarly terminate any such further account.

Breach of these Terms of Service, which includes failing to respect the character, quality and atmosphere of the CFA, and which also includes making postings which demand a disproportionate amount of time and/or moderation by paaleads.com, may result in your account being terminated or suspended. The length of any suspension will be at the sole discretion of paaleads.com.

paaleads.com reserves the right to terminate or suspend access to or use of the CFA at any time and for any reason, each of which shall be at the sole discretion of paaleads.com.

All disclaimers, warranties, indemnities and exclusions shall survive termination of these Terms of Service or your use or access of the CFA.

paaleads.com may contact you by email to advise you of any edits to your posts, or if your access to the CFA has been suspended or terminated.

Disclaimer of Warranties:

You expressly agree that use of the CFA is at your own sole risk. paaleads.com shall not be responsible to you for any Content found or placed on the CFA. To the fullest extent permitted by law, paaleads.com expressly disclaims all warranties, terms and representations of any kind whether express or implied in connection with your use and access to the CFA. paaleads.com makes no warranty, term or representation that the CFA will meet your requirements, or that the CFA will be uninterrupted, timely, secure, or error-free; nor does paaleads.com make any warranty, term or representation as to the results that may be obtained from the use of or access to the CFA, or as to the accuracy or reliability of any information obtained through the CFA. No advice or information, whether oral or written, obtained by you from the CFA shall create any warranty, representation or term not expressly made herein. You understand, and agree, that any Content downloaded, or otherwise obtained through the use of or access to the CFA, is so obtained at your own discretion and risk, and that you will be solely responsible for any damages, losses, liabilities, costs and expenses incurred from the download, access to or use of such Content or access to or use of the CFA.

paaleads.com makes no warranty or representation that the CFA is free from viruses or anything else which may have a harmful effect on any technology.

Limitation of Liability:

To the full extent permissible under the applicable law, paaleads.com shall not be responsible or liable for (1) any direct, indirect, incidental, special, consequential, or other damages, losses, liabilities, costs or expenses (whether under contract, tort (including negligence) or otherwise) resulting from or in connection with the use of, or inability to use, or access to or inability to access the CFA (including loss of business, loss of data, loss of goodwill, loss or profit and loss of opportunity); or (2) for the cost of procurement of substitute goods and services; or (3) resulting from any goods or services purchased, or obtained, or messages received, or transactions entered into through or as a result of access to or use of the CFA, in all cases whether or not paaleads.com has been advised of the possibility of such damages, losses, liabilities, expenses or costs.

Indemnification:

You agree to indemnify and hold paaleads.com, and its subsidiaries, affiliates, officers and employees, harmless from all and any claims, demands, liabilities, damages, costs and expenses (including legal fees) incurred or suffered by paaleads.com due to or arising out of your use of or access to the CFA, the breach of these Terms of Service by you, or the infringement or breach by you (or by any other user of your account) of any Rights or other right of any other person or entity.

Miscellaneous:

paaleads.com intends the CFA for use by you in the United Kingdom only. We make no warranty or representation that the CFA (or any element of it) is appropriate, or available, for use in locations outside the United Kingdom. Accessing the CFA from territories where your access to it is prohibited, or where any such service is considered illegal, or unlawful, is not permitted under these Terms of Service. If you choose to access the CFA from locations outside the United Kingdom, you do so on your own initiative, and you are solely responsible for compliance with all applicable local laws.

If any provision of these Terms of Service is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and where capable the validity and enforceability of the remaining provisions of these Terms of Service shall not be affected.

If we fail to enforce a right under these Terms of Service, that failure will not prevent us from enforcing other rights, or the same type of right on another occasion.

We may modify, amend or alter these Terms of Service at any time without notice to you. Your continued use of the CFA signifies your acceptance of any modification, amendment or alteration made to these Terms of Service.

We may modify, amend, alter, adapt, or discontinue, the CFA with, or without, notice to you, and without liability to you, or to any third party at any time.

You may not assign or transfer your rights under these Terms of Service without our prior written consent.

Unless expressly provided in these Terms of Service, no term of these Terms of Service is enforceable pursuant to the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it.

These Terms of Service set out the entire agreement and understanding between paaleads.com and you in connection with the subject matter of these Terms of Service.

These Terms of Service are governed by and construed in accordance with English law. Any disputes shall be subject to the exclusive jurisdiction of the English courts to which each party submits.
